Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by One Trinity Consulting Inc. ("Company", "we", "us", or "our"), you ("Client", "you", or "your") accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.

2. Company Information

One Trinity Consulting Inc. is a corporation incorporated under the laws of Ontario, Canada. We provide AI agents, technology consulting, data analytics, product analytics, and end-to-end product delivery services.

3. Services

We provide professional consulting services including but not limited to:

• AI agents and automation solutions
• Technology consulting and strategy
• Data analytics and insights
• Product analytics and optimization
• End-to-end product development and delivery

4. Client Obligations

You agree to:

• Provide accurate and complete information necessary for service delivery
• Cooperate in good faith with our team
• Pay all fees as agreed upon in our service agreements
• Respect intellectual property rights
• Use our services in compliance with applicable laws

5. Payment Terms

Payment terms will be specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may incur interest charges at the rate of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is lower.

6. Intellectual Property

All intellectual property developed specifically for you during our engagement will be transferred to you upon full payment, unless otherwise specified in writing. Our pre-existing intellectual property, methodologies, and general knowledge remain our property.

7. Confidentiality

We maintain strict confidentiality regarding your business information and will not disclose confidential information to third parties without your written consent, except as required by law.

8. Limitation of Liability

To the maximum extent permitted by law, our liability for any claims arising from our services shall not exceed the total fees paid by you for the specific services giving rise to the claim. We shall not be liable for any indirect, incidental, special, or consequential damages.

9. Termination

Either party may terminate our services with 30 days written notice. Upon termination, you remain liable for all fees for services performed prior to termination.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario, Canada.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website and will be effective immediately upon posting. Your continued use of our services constitutes acceptance of any changes.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
